STANDARD TRADING TERMS AND CONDITIONS OF SALE

ORDERS:- All orders are irrevocable; cancellation will not be accepted without the written approval of Denyer Bros, and may be subject to a cancellation charge.

PRICES :- List prices are subject to variation without notice, (unless under current contract), although every effort will be made to maintain listed prices. Denyer Bros & our suppliers reserve the right to vary the price of goods due to unpredictable exchange, or other variations outside our control.

List prices quoted are ex-warehouse, excluding tax and insurance, as goods shipped on common carriers are at customer's risk.

Prices quoted in writing to the customer are valid in accordance with Terms of Quote only if quote is referred to in an order to Denyer Bros. The appropriate tax rate is applicable to all orders.

DELIVERY :- All goods shipped remain the property of Denyer Bros Pty Ltd until payments are received in full and Denyer Bros retains the right to recover goods at any time. The risk in goods supplied by Denyer shall pass to the buyer upon delivery. Delivery arrangements and charges must be agreed at time of placing each order.

PAYMENT :- Net 30 days from date of statement for approved accounts. Overdue payments may be subject to a finance charge of 2% per month on the outstanding account, and reimbursement of collection expenses incurred in recovery of debt.

WARRANTY :- All products are covered by the manufacturer's guarantee against defects in workmanship and/or materials during the warranty period. Any faulty item will be repaired or replaced at our discretion. The warranty does not cover damage due to normal wear and tear, neglect, accident, misuse, incorporation of unauthorised components, or operation contrary to the purpose intended, or operation by unqualified or unauthorised persons, including being subjected to operating or environmental conditions contrary to applicable specification based on operating instructions, or Australian Standards.

EXCLUSIONS:- Denyer Bros Pty Ltd excludes to the full extent to which it is entitled to do so by law and any or all implied conditions and warranties together with liability for any loss or damage directly or indirectly by the purchaser including special indirect consequential damage or loss of anticipated income or profit. This warranty is not valid outside Australia .

RETURN OF GOODS

Goods are not sold on a sale or return basis.

DOCUMENTATION :- No returns will be accepted without our prior approval, which is confirmed by advice of our Return Authorisation Number (RAN), and may be subject to a 15% restocking fee. All returns must be accompanied by original invoice verifying purchase. RAN must always be quoted.

CREDITS :- Credit for claims and returns are approved per claims, credits & returns policy and is the sole discretion of Denyer Bros. Goods may not be returned for credit if goods were ordered incorrectly, sterile packaging has been tampered with, items require cold storage, goods have been etched or engraved, instruments have been used, are not in their original packaging, are damaged or defaced, are not complete as shipped, or are indent or special order goods.

FREIGHT :- Return freight to Denyer Bros should be pre-arranged with Denyer Bros, and is normally for the account of the customer. Sales Reps may only call to pick up goods where discussion with customer is required, or insitu inspection of goods is useful.

PACKAGING :- Goods should be returned carefully repacked in original packaging. Customers may be held responsible for any damage incurred in transit back to Denyer Bros, or cost of replacement or packaging.

DOCUMENTS :- Customers must return all service, technical or operator manuals originally supplied with goods in good condition. Customers may be held responsible for any damage incurred in transit back to Denyer Bros, or cost of replacement of documentation.
